    TeraPlast completes the acquisition of the polyethylene pipe manufacturing facility in Spain

    TeraPlast announces the closing of the acquisition of the MASA polyethylene pipe manufacturing facility in Spain, previously part of Aliaxis.

    As stated in the initial announcement, the final value of the transaction will be determined based on a usual formula starting from a base value of EUR 6.7 million which will be adjusted depending on the actual working capital, in accordance with the agreed upon mechanism. The settlement will be done according to June 30th financial statements within the next period.

    The production facility is located in Okondo, northern Spain, approximately 20 km from Bilbao, and has an annual production capacity of 16,000 tonnes. It serves a solid customer base in Spain, France and Germany and generated revenues of EUR 29.4 million in 2025.

As of today, TeraPlast is manufacturing in Spain and begins the integration of a strong business with talented people, modern technology and an important customer base. We will be applying the same business model that has already been proven successful across the Group’s other companies, and I am confident that, over time, we will build an equally high-performing operation here. We invest where we see potential for growth and profitability. We have added another Romanian industrial landmark to the map of Western Europe. We came to Spain to generate profits and to build a Group that is significantly larger than it is today, and you will be seeing the results of this investment reflected in our quarterly reports,” stated Mr. Dorel Goia, Chairman of the Board of Directors of TeraPlast.

    Over the next three years, TeraPlast will invest approximately EUR 4 million in modernizing and expanding the facility’s production capacity, as well as integrating the business into the Group’s operational structure.

    The production facility is equipped with modern European technology and has been acquired together with its local team of 79 employees.

    Through this investment, TeraPlast further strengthens its position in the European market and continues its international expansion strategy. Following its expansion into the Republic of Moldova, Hungary, Austria and Croatia, Spain becomes the fifth foreign market where the Group operates.
