    Electrica shareholders appoint new Board of Directors

    The Ordinary General Meeting of Shareholders (OGMS) Electrica elected a new Board of Directors, consisting of seven members. The shareholders of Electrica decided to elect, for a term of four years, the following members of the Board of Directors: Iulian Cristian Bosoancă, Gicu Iorga, Ion Cosmin Petrescu, Adrian Florin Lotrean, Radu Mircea Florescu, George Cristodorescu and Dragoș Valentin Neacșu.

    The following members of the Board of Directors are considered revoked: Valentin Radu, Dragoș Andrei and Bogdan George Iliescu. They have not been confirmed as a result of the application of the cumulative voting method, their term of office ending as a consequence on the date of this OGMS. On April 22, 2021, Ramona Ungur resigned, with immediate effect, from the position of director of the company and resigned as a candidate in the elections for the Board of Directors.

    At the proposal of the Board of Directors of Electrica SA, the Ordinary General Meeting of Shareholders approved, also on April 28, 2021, the distribution of net profit for the financial year 2020, the total value of gross dividends, 247 million RON, and the value of gross dividend on share, 0.73 RON. The approved date for the payment of dividends is June 25, 2021.

    The company’s shareholders agreed to extend the mandate of Electrica’s financial auditor, Deloitte Audit SRL, for a period of two years, respectively for the financial years 2021 and 2022.
