Filip & Company law firm has provided legal assistance to Inspire Asset Management, the investment company founded by Iulian Stanciu, in relation to its acquisition of a stake in Nibiru Real Estate, the developer of the Nibiru entertainment and leisure project located on the Romanian coastline, in the Costinești area.
The transaction marks a new stage in Inspire Asset Management’s investment in Nibiru; the partnership between the two companies was established as early as the project’s development phase, through funding provided prior to its launch. The investment now continues through a direct stake in the company’s share capital. The completion of the transaction is subject to approval by the Competition Council.
The legal assistance provided by Filip & Company has included conducting the due diligence process, structuring the investment, and preparing and negotiating the transaction documentation, covering both the financing aspect and the investor’s entry into the company’s shareholding structure.
“You all know by now that Nibiru is absolutely brilliant, but we were very lucky to get a sneak preview. It’s the sort of project where you’re inspired by everyone else’s energy and find yourself working with a smile on your face. We’re convinced that Nibiru will continue its upward trajectory and that more and more of us will be able to enjoy ourselves there. We’re delighted to have been able to partner with Inspire Asset Management on this investment and to have contributed to this wonderful project. We’d like to thank them for their trust and for the excellent collaboration, and we wish them every success in this new venture”, said Alexandru Bîrsan, managing partner at Filip & Company.
The Filip & Company team that advised Inspire Asset Management on this transaction was led by Alexandru Bîrsan (managing partner), Ioana Roman (partner) and Simona Ungureanu (counsel) and included in key roles Camelia Ianțuc (counsel) and Roxana Tiugan (associate). The team in charge of the due diligence process consisted of Alina Savastre (senior associate), Alexandra Ionescu (associate), Roberto Cazacu (associate), Minodora Bănică (associate) and Cătălina Popescu (associate), whilst competition law issues were handled by Cătălin Suliman (partner), Roxana Roșca (counsel), Sergiu Păun (associate) and Antonia Cioploiu (associate).
