In the first nine months of 2026, TeraPlast Group recorded a revenue of RON 943.3 million, up 10 percent compared to the same period of the previous year. For the full year 2026, TeraPlast Group forecasts a record revenue of RON 1.2 billion, 14 percent above the 2025 level.
Sales outside Romania increased by 16 percent in value in the first nine months of 2026 compared to the same period in 2025, from RON 298.7 million in 9M 2025 to RON 345.7 million in 9M 2026. They accounted for 37 percent of the consolidated revenue in the first three quarters of 2026, up 2 percentage points compared to the same period of the previous year.
The gross margin increased by 12 percent, from RON 319.8 million in the first nine months of 2025 to RON 356.8 million in January–September 2026. As a percentage of revenue, the gross margin increased from 37 percent in 9M 2025 to 38 percent in 9M 2026.
EBITDA stood at RON 61 million, down 15 percent compared to the same period of the previous year, while the EBITDA margin was 6.5 percent, compared to 8.4 percent in the first nine months of 2025.
EBITDA performance was affected by higher expenses, particularly raw material costs driven by the war in Iran, as well as cost pressures in other areas, including transportation and energy. Against a backdrop of lower sales volumes, which amounted to nearly 96,000 tonnes in 9M 2026, down 3 percent compared to 9M 2025, rising expenses eroded margins.
In the Installations Division, the Group’s core business, the lack of consistent and sustained funding and payments for public infrastructure projects, together with price fluctuations, affected the pace of orders and placed additional pressure on the division’s margins.
These effects were partially offset by the positive contribution of TeraPlast Iberia’s operations, consolidated starting the third quarter of 2026. Specifically, TeraPlast Iberia contributed EUR 7.7 million (over RON 40 million) to the Group’s revenue and EUR 1.4 million (RON 7.6 million) to consolidated EBITDA.
“Our results demonstrate that acquiring the factory in Spain was the right decision. In just one quarter, the Okondo plant made a positive contribution to the Group’s results and is already performing better than it did before the acquisition. By the end of the year, we expect TeraPlast Iberia to generate EBITDA of EUR 1.7 million, translating into a net profit of EUR 1.3 million after tax.
Furthermore, across our European markets, we have recorded significant revenue growth in Germany, driven by deliveries from our factories in Hungary and Spain, as well as very strong performance in Croatia, supported by sales from Romania. We are also in the process of obtaining certifications for the German market, which will enable us to further increase our revenue in this market starting early next year,” said Bogdan Crăciunaș, Chief Financial Officer of TeraPlast Group.
“I congratulate the team in Okondo and the management team in Bistrița on the results they have achieved. Buying a factory is easy; organizing an inauguration is even easier. The real challenge is proving that you can do things better than your predecessors. And when our teams across different countries deliver very strong results, their achievements deserve to be recognized and highlighted. This is how we build TeraPlast Group’s success,” said Dorel Goia, Chairman of the Board of Directors of TeraPlast.
The Packaging Division recorded positive EBITDA of RON 7.9 million in the first nine months of 2026, compared to a negative result of approximately RON 1 million in the same period of 2025, supported by a strong performance in the second quarter of this year. By contrast, the Compounds and Windows Divisions continued to be affected by subdued demand and challenging market conditions.
The Group recorded a net loss of RON 10.3 million in the first nine months of 2026, compared to a net profit of RON 6.3 million in the same period of 2025. This development was driven by lower operating profitability amid reduced sales volumes and pressure on margins, as well as the impact of foreign exchange differences.
The net result also reflects expenses related to the acquisition and integration of TeraPlast Iberia, as well as costs associated with the acceleration of works carried out by Aquatica Experience Group in Buzău.
For the final quarter of the year, TeraPlast Group expects challenging market conditions to persist, characterized by pricing pressure and a seasonal slowdown in demand, particularly in activities dependent on construction and infrastructure works. Against this backdrop, performance in the final three months is not expected to offset the deterioration in profitability recorded since the beginning of the year.
Accordingly, for the full year 2026, the Group forecasts a consolidated revenue of RON 1.2 billion, 14 percent above the 2025 level, EBITDA of nearly RON 70 million, 19 percent below the previous year’s level, and a net loss of RON 25 million.
These forecasts do not include the positive adjustments arising from the completion of the purchase price allocation process for the Spanish plant, including the impact on the fair values of the net assets acquired, which will be recorded in the fourth quarter of 2026.
In the Installations Division, seasonality will influence the pace of orders in the final quarter, particularly for products intended for infrastructure projects. At the same time, expanding the product portfolio offered across European markets, supported by obtaining specific certifications, and developing sales in segments less dependent on the construction season offer opportunities to diversify demand. The Spanish operations also contribute to strengthening the Group’s presence in Western European markets.
For the Packaging Division, following the significant improvement in operating performance during the first nine months, the final quarter is expected to see more subdued market activity than in the reported period. Performance will continue to depend on raw material price movements and the pace of orders across the main markets served by the division’s companies.
In the Compounds Division, demand from the cable industry remains low, while price competition continues to affect business activity. No significant change in market conditions is expected before year-end, with order developments from the industries served by the division will remain the main driver of its performance.
In the Windows Division, measures to improve production efficiency and reorganize the business model are continuing, alongside the development of digital tools for customers, including a platform for product configuration and preparing commercial quotations. These initiatives aim to improve operational and commercial processes in an environment where demand remains under pressure.
