    Romgaz reaches agreement to take over Azomureș operations

    Romgaz announced that it has reached an agreement in principle with Azomureș regarding the takeover of Azomureș’s operational activity through a “Transfer of a Going Concern” transaction.

    According to the company statement submitted to the Bucharest Stock Exchange, the parties agreed on the main commercial terms of the deal, including: transaction structure,  acquisition price, and commercial mechanisms applicable between signing and completion.

    Romgaz said negotiations are continuing and that the final transaction contract is expected to be approved by the company’s Board of Directors by the end of May 2026.

    The potential acquisition is considered strategically important because Azomureș is Romania’s largest fertilizer producer and has struggled in recent years due to high natural gas prices. Around 800 employees are reportedly in technical unemployment.

    Romanian officials described the move as an important step toward reviving the domestic fertilizer industry and increasing the value added from Romania’s natural gas production.
