The Filip & Company law firm provided legal assistance to the Digi group in relation to the initial public offering and listing of shares of Digi Spain Telecom S.A.U., the group’s Spanish subsidiary, on the stock exchanges in Barcelona, Bilbao, Madrid, and Valencia.
The company is valued at approximately EUR 1.66 billion following the offering, marking one of the most significant transactions on the European capital market this year.
The offering includes a capital increase through the issuance of new shares worth approximately EUR 150 million, as well as a secondary offering of existing shares worth approximately EUR 137 million, with the possibility of an additional over-allotment.
“It’s a truly exceptional achievement. A subsidiary of a Romanian entrepreneurial company has become one of the leaders in the telecom market in one of Europe’s largest and most competitive markets. This is something that has been built over the long term through hard work and inspiration, under very difficult conditions, demonstrating the talent of the DIGI team and its ability to overcome a wide variety of obstacles. Digi Spain’s listing and the success of the offering confirm this journey and the extraordinary trust that Digi has built in Spain and among the international investor community, while also marking the first IPO of a company with Romanian origins on another major European capital market. We are honoured to have had the opportunity to assist Digi with this project, and we thank them for their trust and for the excellent collaboration,” said Alexandru Bîrsan, managing partner at Filip & Company.
Digi Spain is one of the most dynamic telecom operators on the Spanish market, and its listing represents an important step in its strategy to grow and strengthen its market position. The offering was conducted through an international bookbuilding process targeting institutional investors, with the offering price set at EUR 5.60 per share.
The Filip & Company team involved in the project was coordinated by Alexandru Bîrsan (managing partner) and Anca Bădescu (senior associate) and included Bianca Gheorghe (associate) and Georgiana Lazăr (associate), while financing matters were handled by Rebecca Marina (partner).
The Uría Menéndez law firm advised the issuer on matters of Spanish law, while Weil, Gotshal & Manges (London) advised on matters of international law.
