The Filip & Company team has advised DIGI Spain Telecom S.L.U on a complex transaction with Sota Investments Spain OpCo, S.L.U., a company controlled by a consortium formed by Macquarie Capital, abrdn and Arjun Infrastructure Partners, some of the largest international infrastructure funds, for the sale by Digi Spain of an FTTH network developed in 12 provinces in the regions of Madrid, Segovia, Avila, Castilla-La Mancha, Comunidad Valenciana and Murcia.

The value of the transaction was up to 750 million Euro. Following the transaction, DIGI Spain will continue to serve its customers using the same network and will be managed by Onivia, a large Spanish infrastructure operator controlled by the consortium of funds that acquired the network.

The transaction is subject to closing conditions such as FDI and merger control clearance.

“It is one of the biggest infrastructure deals of the year in Europe. This transaction confirms the strong interest of major international investors in being part of the rapid development of this truly European group and opens up new opportunities and horizons for DIGI. We are proud to have had the opportunity to contribute to this remarkable achievement and to witness the ongoing transformation of the DIGI Group. It was again an excellent team effort, we thank them for their trust and look forward to seeing how they will develop in this context”, said Alexandru Bîrsan, partner and head of Mergers, acquisitions and capital markets at Filip & Company.
