    Hidroelectrica completes takeover of UCM Resita

    Hidroelectrica announces the successful completion of the transaction regarding the acquisition of the business of manufacturing and commercializing hydro units and auxiliary equipment, as well as providing specialized rehabilitation services, improvement, and technical assistance in the energy sector, related to the ABC platform and partially to the Calnicel platform owned by UCM Resita (UCMR).

    The completion of the transaction was made following the fulfillment of the conditions precedent from the Framework Agreement concluded on 8 December 2023, between UCMR and Hidroelectrica, and the completion of all formalities for the transfer of the Business, including the approval and establishment of the company Uzina De Constructii Masini Hidroenergetice, which took over the Business (UCMH).

    The company UCMH, established following the EGMS Resolution no. 2/22 January 2024 and wholly owned by Hidroelectrica, is headquartered in the city of Reșița, the main object of activity being the manufacture of engines and turbines (except those for aircraft, vehicles, and motorcycles). The price paid by UMCH for the transfer of ownership rights over the Business respectively over all assets falling within the scope of the transaction perimeter was 67,879,000 RON.
